Call to Order – The meeting was called to order at 11:00 a.m. II. Roll Call - In attendance were the full Board including City Administrator Michael Guttman, Director of Public Works Mehul Patel, Assistant Director of Public Works Dave Shah, Interim Village Manager Evan Summers and Finance Director Connie Kravitz. WCWWA Attorney James Ferolo was also in attendance. III. Public Comments – there were no public comments IV. Board of Directors Comments - none V. New Business: A. Consideration and Approval of Regular Board of Directors Meeting Minutes from November 12, 2024. – A motion to approve the meeting minutes of November 12, 2024 was made by Patel and seconded by Shah, the minutes were approved unanimously. B. Submission and Presentation of Fiscal Year 2024 Audit by Miller Cooper & Co., Ltd. [50 ILCS 310/6 and IGA Sections 3.5.F and 4.3] – Susan Jones, Partner at Miller Cooper & Co. presented results of the clean 2024 audit and highlighted details of the Required Auditor Communication to the Board. Kravitz made a motion to approve the Fiscal Year 2024 Audit and was seconded by Summers, the Audit was approved unanimously by the Board. VI. Old Business: A. Phosphorus Project – Mehul Patel updated the Board - Scope $5 million budget, started in Summer of 2024, currently 35-40% complete. Anticipated to be done by end of October 2025, spanning 3 Fiscal Years. There is a Change Order needed for ~$40,000 which will go to the City of West Chicago’s Board for approval. B. Regional Trail Project – Mehul Patel updated the Board - the DuPage County Forest Preserve District (FPD) project is now underway. The Project is at the cost of the FPD but goes over the land adjacent to the Waste Water treatment plant. VII. Presiding Officer’s Report – none VIII. Executive Session – none IX. Adjournment – A motion was made by Summers to adjourn the meeting and seconded by Shah at 11:16 a.m. The motion passed 5-0 by a voice vote. ===== PDF PAGE 4 ===== [Extraction: embedded PDF text] ORDINANCE NO. 25-0-0001 ORDINANCE APPROVING THE BUDGET AND APPROPRIATIONS FOR THE WEST CHICAGO/WINFIELD WASTEWATER AUTHORITY (FISCAL YEAR 2026 - JANUARY 1, 2026 THROUGH DECEMBER 31, 2026) WHEREAS, in 2018, the West Chicago/Winfield Wastewater Authority ("Authority") was established by the City of West Chicago, an Illinois home rule municipal corporation, and the Village of Winfield, an Illinois non-home rule municipal corporation, by the adoption of an intergovernmental agreement, as amended, pursuant to Section 3.4 of the Illinois Intergovernmental Cooperation Act, 5 ILCS 220/3.4 ("IGA"); and WHEREAS, the Authority is authorized, pursuant to State law, 5 ILCS 220/3.4 and 50 ILCS 330/1, et seq., and Sections 3.5.E. and 4.2 of the IGA, to enact and approve an annual budget and appropriations for each of its fiscal years; and WHEREAS, the Authority's fiscal year is January 1 to December 31 of each calendar year; and WHEREAS, on November 18, 2025, in accordance with the IGA, the Illinois Open Meetings Act, 5 ILCS 120/1, et seq., and applicable State law, 5 ILCS 220/3.4(b) and 50 ILCS 330/1, et seq., the proposed budget and appropriations of the Authority for fiscal year 2026, January 1, 2026 through December 31, 2026, attached hereto as EXHIBIT A and made a part hereof ("FY 2026 Budget"), was considered at a public hearing conducted by the Authority's Board of Directors; and WHEREAS, prior to the public hearing, the FY 2026 Budget: (i) was made available for public inspection, pursuant to published public notice, at the office of the West Chicago/Winfield Wastewater Authority, DuPage County, Illinois, located in the City Administrator's Office at the West Chicago City Hall, 475 Main Street, West Chicago, Illinois 60185, as of October 17, 2025, and (ii) was listed for discussion during the Authority's Board of Director's regular meeting agenda held on November 12, 2023; and WHEREAS, at the November 18, 2025 public hearing on the FY 2026 Budget, the Authority's Board of Directors informed the public of the proposed budget revenues and expenditures and appropriations for 2026, and there was an opportunity for the Authority's Board of Directors and the public to participate in the annual budget and appropriations process by making statements or asking questions regarding the FY 2026 Budget; and WHEREAS, all of the notice and due process provisions and requirements of the IGA and applicable State law, relative to the consideration and approval of the FY 2026 Budget, have been satisfied and complied with as a result of the aforementioned actions of the Authority; and WHEREAS, the Authority's Board of Directors finds that passage of this Ordinance, for purposes of authorizing and approving the FY 2026 Budget, is in the best interests of the Authority and its members; NOW, THEREFORE, BE IT ORDAINED BY THE BOARD OF DIRECTORS OF THE WEST CHICAGO/WINFIELD WASTEWATER AUTHORITY, DUPAGE COUNTY, ILLINOIS, AS FOLLOWS: 1 ===== PDF PAGE 5 ===== [Extraction: embedded PDF text] SECTION 1: Each Whereas paragraph above is incorporated by reference into this Section 1 and made a part hereof as material and operative provisions of this Ordinance. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE WEST CHICAGO/WINFIELD WASTEWATER AUTHORITY, DUPAGE COUNTY, ILLINOIS, AS FOLLOWS: SECTION 1: Each Whereas paragraph above is incorporated by reference into this Section 1 and made a part hereof as material and operative provisions of this Resolution. SECTION 2: The Board approves of the regular meeting schedule for the 2026 calendar year, and for subsequent calendar years until such time, if any, as the Board modifies its regular meeting schedule, as set forth below: Second Tuesday of May and November The starting time for the above meetings shall be 11:00 A.M. The May meeting shall be conducted at the Winfield Village Hall at 27W465 Jewell Road, Winfield, Illinois, unless otherwise noted. The November meeting shall be conducted at the West Chicago City Hall at 475 Main Street, West Chicago, Illinois, unless otherwise noted. Regarding any cancelled regular meeting dates, or if the Board decides to conduct special meetings, emergency meetings or executive session meetings on other dates or in place of cancelled meetings, the required notice and agenda for any such special or rescheduled, emergency or executive session meeting shall be posted in accordance with the Open Meetings Act. SECTION 3: The Board directs that this Resolution be made available to the public and any news medium that has filed an annual request for notice of meetings in accordance with the requirements of the Open Meetings Act, as amended.
