I. Purpose, Definition, and Intent. A. In consideration of the covenants and agreements hereinafter contained, as well as other good and valuable considerations, the Organizer and the City hereby agree that the Organizer is an independent entity with respect to the City and agrees to perform all services to create, plan, develop and execute the Mexican Independence Day Festival a n d P a r a d e on September 13, 2026, (hereinafter referred to as "Event") and that the City will provide a designated amount of financial support for such Event taking place in the downtown on that date. The Organizer has no authority or power to incur debts, obligations or commitments of any kind whatsoever for or on behalf of the City or to bind the City to any contract, agreement or employment agreement. B. For purposes of this Agreement, the “Event” shall refer exclusively to the City-approved and City-funded Mexican Independence Day Festival and Parade taking place on Sunday, September 13, 2026 11:30 a.m. – 6:00 p.m., in Downtown West Chicago. The "Festival" shall refer to the event activities occurring within the designated festival grounds. The "Parade" shall refer to the organized procession occurring along the approved parade route and related staging and dispersal areas. All obligations, funding, and requirements set forth in this Agreement apply solely to this Event. C. The City and Organizer share a commitment to supporting the continued growth and long-term sustainability of the Mexican Independence Day celebration in West Chicago. Historically established as a one-day event, the celebration expanded in prior years to include additional programming, including a second day and parade, through the leadership of community partners. Following a recent pause and the successful return of a one-day event in 2025, the 2026 celebration reflects a renewed effort to thoughtfully rebuild and expand the event through a combination of Festival programming, return of a parade, and additional community-led activities. D. The City’s financial support under this Agreement is specific to the Event as defined herein. Additional activities associated with the broader celebration may be supported through independent fundraising, partnerships, and community-led efforts. Over time, it is 1 ===== PDF PAGE 32 ===== [Extraction: embedded PDF text] the shared goal of the City and Organizer to continue growing the celebration in a manner that is culturally meaningful, operationally sustainable, and reflective of the West Chicago community. II. Organizer Responsibilities. This will include, but is not limited to, accomplishing the following tasks and purveyance of services: A. The Organizer will serve as the lead event planner and execute the following duties: 1. Plan, organize and supervise the Event, making arrangements for the Festival site, negotiate contracts with responsible independent contractors or vendors, apply for all permits and licenses, comply with all insurance requirements as defined in the Special Event Permit Application and Section VI, and coordinate with City officials. 2. Comply with the City’s Municipal Code, ordinances, and Special Events Policy in effect at the time this Agreement becomes fully executed, including the posting of signs in conformance with the City's regulations regarding concealed carry at special events. Should a higher level of government mandate any new laws that the City is required to enforce and should the City Council approve a new law that does not specifically deal with festivals but rather improves and addresses the health, safety and welfare of West Chicago residents and its visitors before the festival, then the Organizer shall be obligated to comply. The Organizer shall comply with all Police Department, Public Works Department, and City directives regarding traffic control, barricades, parade staging, public safety, and emergency operations. 3. Use City-approved event branding, which includes, but is not limited to, the event name, and logo. 4. Solicit volunteers and vendors as needed. The Organizer shall be responsible for ensuring that volunteers receive appropriate safety instructions, Event-specific training, and supervision necessary to safely perform their assigned duties. 5. Undertake additional fundraising efforts specifically for the 2026 Festival, including securing new sponsorships and donations in accordance with Section III.B. The Organizer shall actively pursue sponsorships and partnerships with the goal of increasing non-City revenue annually. 6. Ensure at least one supervisor attends and supervises the entire Festival, and a separate supervisor will supervise the Parade. 7. Pay all contractual obligations associated with the Event and obtain all required licenses and deposits. 2 ===== PDF PAGE 33 ===== [Extraction: embedded PDF text] 8. Ensure that the Festival does not open to the public until: all inspections are completed and signed off on; all applicable permits are obtained; all approvals are granted; all insurance requirements are satisfied; and, all posting of signs is fulfilled. 9. Ensure that the Festival area is maintained in a clean and sanitary condition during the Festival, and that proper cleanup is completed after the Festival in order to return City property to its original condition. This shall include, but is not limited to, prompt removal of animal waste from festival grounds and the parade route by Organizer staff or hired contractor. If the Organizer plans on using spray chalk to mark vendor spaces it must be City approved spray chalk. 10. The Special Event Permit Application must include: a written request for City services, and can also include: food and general vendor applications, parade application, draft schedule of events, and a draft event map. The food and vendor applications must include a Hold Harmless Agreement to be signed by vendors, deadline dates for registration, no alcohol permitted information, certificate of insurance needs, and DuPage County Health Department information for food vendors. City Staff is to receive and approve vendor and parade applications before distribution. 11. City Staff to receive final Festival layout by the final coordination meeting, including, but not limited to, vendor locations, entertainment locations, restroom facilities, arrival instructions that vendors received, etc. 12. Staff must receive a final list of Parade participants, in the order they will be walking, no later than one week prior to the event date. Parade registration shall close no later than seven days prior to the Event unless otherwise approved by the City. The Organizer shall coordinate all Parade staging, lineup, participant check-in, scheduling, route management, and Parade-day operations. The Parade application must include rules, including but not limited to, no alcohol, registration deadline date, time of step off, assembly time and location, Parade route length, waiver and hold harmless agreement for participants. Participation shall be limited to registered Parade participants who have completed all required registration materials, waivers, hold harmless agreements, and insurance certifications, as applicable. The Parade route must be agreed upon with City Staff prior to submittal of Special Event Permit Application. Any modification to the approved Parade route, staging area, assembly area, or dispersal plan shall require prior approval from the City. If the Organizer does not make every effort to prohibit non-registered participants into the parade after the final list is submitted, the final $500 may be forfeited. 3 ===== PDF PAGE 34 ===== [Extraction: embedded PDF text] 13. All motorized parade units shall be registered in advance through the parade registration process. Registration shall include vehicle description, license plate number, and certification that the vehicle is covered by automobile liability insurance in accordance with Illinois law. Participation shall be limited to registered motorized units. The Organizer shall obtain and retain documentation evidencing such certification and shall provide copies to the City upon request. 14. Organizer shall utilize and keep up to date the Parade Management Checklist throughout the planning stages. B. The Organizer shall promote the Event through various media channels. Promotional efforts for each media source shall be detailed in the post-event report to include the name of each media source, copy of the advertisement, length of promotion, and a summary of reach, if available. The Organizer shall also promote the Event through its organizational website and social media platforms. 1. The Organizer must create a Facebook Event for the Event and add the City as a Co-host. The Facebook Event must be created at least 60 days prior to event date. The Organizer must run a “boosted ad” for the Facebook Event page to start at least one month prior to event date with a spending of at least $300 of sponsorship money that targets a 10-15 mile radius from West Chicago. 2. The Organizer must post the vendor applications, and schedule of events on the website and social media 60 days prior to Event date. 3. The Organizer will include the City’s logo and recognition as an Event partner, primary contributor, and sponsor on all promotional materials, including but not limited to, the website, seasonal brochures, social media advertisements, flyers, etc. Acknowledge City sponsorship and event partner on newly printed banners, signage, promotional materials, etc. C. There shall be no entrance fee for the Festival. There will neither be a carnival nor fireworks at the Event. Alcohol shall neither be served nor permitted at the Event. D. The Organizer shall provide adequate safety and security throughout the Event duration. A fire lane must be maintained throughout the fest area. The Organizer shall ensure that all horses at the Festival and/or Parade, shall be separated from the general public by means of barricades or a distance of at least 10 feet. The Organizer shall ensure that all Parade participants, animals, vehicles, and equipment operate in a manner that protects the safety of spectators, volunteers, and participants and complies with all Parade safety requirements 4 ===== PDF PAGE 35 ===== [Extraction: embedded PDF text] established by the City. E. The Organizer must create a plan for weather cancellations and/or pauses. This plan must be coordinated with City Staff. 1. The City reserves the right to cancel, postpone, or suspend the Event, in whole or in part, due to weather conditions, emergency situations, construction, public safety concerns, or other conditions beyond the City’s control that may impact the safe and orderly conduct of the Event. 2. The decision to cancel, postpone, or suspend the Event shall be made by the City Administrator, Chief of Police, or other authorized City official, in consultation with appropriate City departments and emergency services personnel. 3. To the extent practicable, the City shall make cancellation or postponement decisions in advance of the Event and communicate such decisions to the Organizer in a timely manner. However, the City reserves the right to make such determinations at any time, including during the Event, if conditions warrant. 4. Upon notification of cancellation or postponement, the Organizer shall be responsible for communicating such information to Event participants, vendors, contractors, and volunteers, including coordinating any necessary follow-up actions. F. The Organizer must attend the Public Affairs Committee meetings when the Event is being discussed, including but not limited to: the Funding Agreement, the Special Event Permit Application, and the final report. The City can withhold final payment if an Organizer representative is not present at the meetings. G. The Organizer shall maintain and provide documentation sufficient to verify Event-related expenses that support the total City funding provided under Section III.A. 1. Funding provided by the City under this Agreement may only be used for expenses directly related to the Event taking place on Sunday, September 13, 2026, in Downtown West Chicago. 2. Funding shall not be used for any activities occurring outside of the defined Event, including but not limited to activities held on other dates. 3. Funding cannot be used for travel expenses. 4. Funding cannot be used for paying an “event planning fee.” 5. The Organizer shall maintain clear and auditable financial records that distinguish Event-related expenses from any other organizational -related expenses. H. The Organizer shall make its final appearance at the earliest available Public Affairs Committee meeting after the Event, anticipated to be the November 16, 2026 meeting, to present the final written report. The City can withhold final payment if an Organizer representative is not present at the meeting. If for any reason the November 16, 2026 meeting is canceled, the Organizer will appear at the following Public Affairs Committee meeting. I. The Organizer may coordinate or participate in additional activities associated with Mexican Independence Day that are not included in the Events as defined in this Agreement, including but not limited to any activities occurring on dates other than Sunday, September 13, 2026. Such activities: 1. Shall not be eligible for City funding under this Agreement; 2. Shall not be considered part of the Event; 3. Shall be planned, funded, and executed independently by the Organizer; and 4. Shall be clearly distinguished in all promotional materials and communications from the City-funded Event. The City assumes no responsibility or liability for any such activities. III. City Responsibilities. The City's responsibilities are limited to the following: A. The City will provide financial support of up to $8,500 to be paid in installments, in order to help cover the cost of Event activities and the Organizer’s role in producing the Event. Funds will be released so long as the submittal requirements have been met. The City reserves the right to review the overall Event budget, including sponsorships, donations, and available organizational funds, and to adjust funding allocations or payment distribution as deemed appropriate to ensure responsible use of public resources. The City’s financial contribution is subject to annual review and may be adjusted in future years as the Event progresses toward independent financial sustainability. In evaluating future funding and partnership opportunities, the City may consider the Organizer’s demonstrated progress in securing sponsorships, increasing community participation, and advancing the continued growth and sustainability of the Event. Continued eligibility for City financial support may be contingent upon the Organizer remaining in good standing with the City, including compliance with the terms of this Agreement. 6 ===== PDF PAGE 37 ===== [Extraction: embedded PDF text] Final payment under this Agreement shall be subject to verification that total eligible Event-related expenses meet or exceed the total City funding provided. The City reserves the right to adjust the final payment amount or require reimbursement of funds if documented expenses are less than the total funding provided. 1. The City agrees to pay the Organizer (or its designee, as specified in writing) $4,500 for contractual obligations directly related to the Event by the end of the week following the July 6, 2026 City Council meeting. 2. The City agrees to pay the Organizer (or its designee, as specified in writing) $3,500 for contractual obligations directly related to the Event by the end of the week following the August 17, 2026 City Council meeting. 3. The City agrees to pay the Organizer (or its designee, as specified in writing) the final $500 in consideration of all contractual requirements being met. B. The City will match eligible cash sponsorships and donations raised by the Organizer in support of the Event subject to the following conditions: 1. Matching contributions shall apply only to new cash sponsorships and donations secured specifically for the 2026 Event after execution of this Agreement. 2. Funds originating from prior-year revenues, retained earnings, organizational reserves, or reallocated funds from previous events or activities shall not qualify toward the City’s matching contribution. 3. The Organizer shall submit documentation of all eligible contributions, including donor name, amount, and date received. 4. The City will match eligible contributions in excess of $2,000, with the total match not to exceed $8,000. 5. Matching payments will be issued within 30 days of receipt and verification of complete and satisfactory documentation by the City. C. The Organizer may use existing organizational funds or reserves to support Event expenses; however: 1. Such funds shall not qualify as matching contributions under Section III.B; 2. Such funds must be clearly identified and documented in the final financial report; and 3. The City reserves the right to evaluate the Organizer’s available financial resources, including reserves, and adjust the level or 7 ===== PDF PAGE 38 ===== [Extraction: embedded PDF text] distribution of funding to ensure the appropriate and equitable use of public funds. D. The City will help market the Event by the following: 1. Highlighting the Event on the City’s event page that will redirect to the event webpage created by the Organizer. 2. The City will share Event content on the City’s official and lifestyle (InWestChicago) Facebook pages. 3. The City will publish a post on the City’s website and feature the Event in at least two bi-weekly newsletters: anticipated on August 21 and September 11. 4. The City will add the Event to the City calendar. 5. The City will promote the Event on the City’s electronic message sign, to be posted at minimum the week leading up to the event. 6. The City will list the Event on the DuPage County Convention & Visitors Bureau calendar of events. E. Should any submittal deadline not be met and/or should the information submitted be deemed incomplete, the City will withhold payment until the submittal is satisfactory. The Organizer will be paid within 30 days of the City receiving complete and satisfactory submittals. F. Subject to approval by the City Administrator, the City will provide the following in-kind services that represent the City’s ongoing commitment to supporting the Event as it transitions toward a sustainable, community-led model: 1. Public Works Department employees will assist with Event set- up, arrange for a dumpster from Groot Industries at no cost to Organizer, and provide Festival banner and ‘papel picado’ (perforated banner sign) installation along downtown light posts at least two weeks prior to the event, should the Organizer purchase and want that to be installed. 2. Public Works Department employees shall provide barricades at the Festival entrances and along the approved Parade route, as applicable. The Organizer may request additional barricades from the Public Works Department which will be provided if inventory is available and if Public Works can reasonably accommodate the request. 3. Public Works staff will provide standard special event street cleanup assistance; not included is animal related waste or feed product disposal or piñata filler materials. The Organizer shall be solely responsible for all animal-related cleanup associated with the Event, including the Parade route. The Organizer is responsible for completing all other Event-related cleanup before 8 ===== PDF PAGE 39 ===== [Extraction: embedded PDF text] leaving the Event site. If a cleanup project requires additional time and/or the hiring of an external contractor, the Organizer must notify the Events & Cultural Programs Manager. The Organizer must provide the Events & Cultural Programs Manager with details regarding the nature of the work to be done, the name and contact information of the person(s) scheduled to perform the work, and the expected timeline of completion. If the Organizer is unable to complete the work in a manner deemed acceptable by City staff, the City will conduct the work and charge the Organizer the applicable municipal rate. 4. Police Department employees will provide staff and provide security during the hours of operation of the Event. 5. Community Development Department employees and/or City contractors will inspect the general layout of the Festival site and conduct any other inspections deemed necessary once all Festival components are known. The site inspection shall take place at least one hour prior to the time the Festival is scheduled to open to the public. All Festival components requiring inspection shall be completely set up at the time of the scheduled inspection. At least one representative of the Organizer shall be present during the entire inspection. 6. Business & Community Relations staff will assist the Organizer with the marketing of the Event via the City’s website, community calendar, and email newsletter; however, paid advertising will be the sole responsibility of the Organizer. In order for City staff to provide marketing assistance, the Organizer shall submit Event-specific marketing materials to the City at least 45 days prior to the Event. These materials may include, but are not limited to photos, graphics, logos, link to the event website, vendor and parade participants, and links to social media event page(s). The Organizer shall submit any new or additional marketing materials to the City no later than 30 days prior to the Event. These materials may include, but are not limited to the entertainment schedule, tentative list of vendors, and programming updates. IV. Coordination, Deadlines, and Reporting. The Organizer shall communicate progress and compliance with the terms of this Agreement at the request of the City. The Organizer shall comply with the following coordination and submittal deadlines and all other submittal dates as indicated on the Special Event Permit Application. A. June 1, 2026 or sooner – Submit Special Event Permit Application and required supporting documentation. B. June 15, 2026 – Attend the Public Affairs Committee meeting, or sooner if the application is submitted early. 9 ===== PDF PAGE 40 ===== [Extraction: embedded PDF text] C. July, August, & September 2026 - The Organizer is required to attend at least three coordination meetings to be held with City officials in preparation of the Event. The meetings shall be scheduled by the City after the Special Event Permit Application has been approved by the Council. The City reserves the right to cancel the Festival and/or the Parade by the third coordination meeting if the Agreement terms have not been satisfied or have not been adequately addressed. All monies provided by the City to Organizer prior to any cancellation shall be repaid. D. August 30, 2026 – Not less than 14 days prior to the Event, the Organizer shall provide written notice, via hand-delivery and/or U.S. Mail, to all residents, business tenants, and property owners in the host area that will be affected by road closures, change to traffic patterns, etc. where the Festival and Parade will take place. The notice shall identify the Festival and Parade route, anticipated road closures, staging locations, temporary parking restrictions, and expected times of impact. At the Organizer’s request, the City will provide the Organizer with a current list of addresses located within these defined areas. The Organizer shall provide a written affidavit to the City confirming delivery of these notices no later than seven (7) days prior to the Event. E. November 2, 2026 – Submit final post-Event report. The report shall include a recap of the Event, a summary of logistical successes and challenges, and recommendations for future years, including strategies to increase sponsorships, improve operational efficiency, and reduce reliance on City funding. The report shall include a full accounting of all 2026 Event-related revenues and expenses, including: 1. City funds received; 2. Sponsorships and donations (with dates received); 3. Vendor fees; and 4. Any use of organizational reserves. Financial reporting shall clearly distinguish Event-related revenues and expenses from any non-Event activities. All reported expenses shall be accompanied by copies of invoices, receipts, and verification of payments made to vendors, sufficient for City review and verification. V. Governing Law and Venue. If either party elects to enforce the provisions of this contract in a court of law, the venue shall be in the Circuit Court of DuPage County. The successful party in any action to enforce the terms of this Agreement is entitled to reimbursement for its reasonable costs and attorney's fees. 10 ===== PDF PAGE 41 ===== [Extraction: embedded PDF text] VI. Insurance and Risk Management. The Organizer shall be responsible for maintaining all required insurance coverage and ensuring that all vendors, participants, and contractors comply with applicable insurance and risk management requirements for the Event. A. The Organizer agrees to maintain, at its expense: 1. General liability insurance in amounts not less than $1,000,000 per occurrence and not less than $2,000,000 in aggregate and shall name the City of West Chicago and its respective officials, agents, employees and volunteers all as additional insureds under the policy using the language provided in the Special Event Permit Application. The Organizer's insurance coverage shall be primary as respects the City and its respective officials, agents, employees and volunteers. Any insurance or self- insurance maintained by the City and its respective officials, employees, agents and volunteers shall be excess of the Organizer 's insurance and shall not contribute to it. The Organizer shall ensure that the City receives original certificates of insurance and endorsements evidencing the existence of such coverage with its completed Special Event Permit Application, which shall be continued during any periods in which this Agreement is in force. 2. Workers’ compensation insurance, and to fully protect its employees from any and all claims filed under the Workers’ Compensation or similar statutes of this State. Such insurance shall be maintained in those amounts required by statute. B. The Organizer is responsible for obtaining, verifying, and retaining all vendor and participant Certificates of Insurance and waivers, when applicable. 1. All registered Parade participant groups shall execute a hold harmless and indemnification agreement as part of the registration process and acknowledge participation at their own risk. 2. The Organizer shall require Certificates of Insurance from Parade participants or activities presenting elevated risk, as determined in coordination with the City. Elevated-risk activities may include, but are not limited to, horses, floats, specialty vehicles, demonstrations, or other activities identified by the City. 3. The Organizer shall obtain, verify, and retain all Parade registration documentation, waivers, insurance certifications, and participant records and shall provide copies to the City upon request. The City reserves the right to prohibit participation by any vendor, participant, vehicle, float, animal unit, or other activity that fails to provide required insurance documentation, waivers, registrations, or certifications. 11 ===== PDF PAGE 42 ===== [Extraction: embedded PDF text] C. If necessary, the Organizer hereby grants the City permission to communicate directly with its insurance company to ensure that the Certificate of Insurance and the endorsements comply with the terms of this Agreement, the Special Events Policy, and the City’s Municipal Code. This coordination does not alleviate the responsibility of the Organizer to ensure that all insurance requirements are met and that all required documentation is provided to the City. VII. Indemnification. The Organizer hereby agrees to indemnify and hold harmless the City and its directors, officers, agents and employees from and against any and all claims, demands, actions, causes of action and other liabilities and expenses, including but not limited to attorney's fees, arising out of or in connection with the Event, including but not limited to any such claims that may be asserted by any employees and/or volunteers of the Organizer, any contractor, vendor or other service provider for the Event. This indemnification provision shall survive the term of this Agreement or any cancellation or abandonment of the terms and conditions contemplated herein. VIII. Compliance with Laws and Safety Requirements. The Organizer hereby agrees that any and all work conducted at the Event sites shall be performed in accordance with all applicable laws of the City to provide a safe working environment for the Event workers, volunteers and general public. The Organizer is responsible for ensuring that all insurance requirements are met, and all required documentation is provided to the City. IX. Assignment. Neither this Agreement nor any interest herein, or claim hereunder, shall be assigned or transferred by either the City or the Organizer. X. Default; Repayment of Funds. Should the Organizer fail to comply with the terms of this Agreement, all monies provided and not accounted for in expenditures towards the planning of the Event by the City shall be returned to it within 60 days of the written notice of the termination of this Agreement. The Event may be canceled by mutual written agreement of both Parties as a result of extreme weather on the day of the Event; in this instance, no repayment to the City is required. XI. Force Majeure and Cancellation. If the Event is canceled arising out of compliance with any law, ordinance, regulation, ruling, order or other governmental action or arising out of acts of God, fire, flood, war, acts of terrorism, pandemic, epidemic, sabotage, accidents, or any other similar circumstance, the City will notify the Organizer and immediately discontinue payments to the Organizer and the accounting procedure.
